GENERAL CONDITIONS OF SALE

1. TERMS OF DELIVERY. The terms set for delivery must be understood as a general indication and not binding for the seller. If the delay in delivery extends beyond the 10th day, the Purchaser can proceed with the cancellation of the order. In any case, however, this fact can give rise to indemnity of sorts.
2. WARRANTY. The seller guarantees the product as corresponding to the specifications indicated in the technical data sheets and guarantees the packaging in good condition until the goods, even if on the trucks, are in their factory. Any complaint for the mismatch of the goods must be received within 10 days. from the date of the d.d.t. of delivery, directly to the selling company in its registered office by registered letter A.R., under penalty of the forfeiture of any right of recourse.
3. PRICES. The Vendor is entitled to propose changes in supply prices by giving prior notice to the customer if there are increases in cost elements. In this case, the purchaser is entitled to withdraw from the contract by notifying the seller within 24 hours from when the price variation proposal has been received.
4. CHANGE OF THE ORDER. Any modification of the terms of the order must be agreed directly with the headquarters of the company Edilcalce Viola Olindo e figli Spa, known to the client, located in S.Eraclio di Foligno (Pg), Via Borgo San Giovanni 11. In any case, every modification must be approved by both parties in writing, otherwise no presumed modification will be valid and effective.
5. PAYMENT. The payment of the supplies must be made to the Vendor company at its headquarters or to an authorized person. The payment itself can not be suspended or delayed by the Purchaser for any claimed claim or exception, whatever the reason is, except for the subsequent and separate exercise of its possible reasons. Unless otherwise agreed, the payment is for cash upon receipt of the goods. However, after 15 days from the delivery date or other agreed contractual deadline and if the payment had not been punctually carried out, the amount will be increased by the interest, provided for in the following art. 5.
6. NONPAYMENT. Failure to pay the supplies made, even in only one of the agreed deadlines, entitles the Seller to suspend, without any formality, further deliveries and automatically incurs the Buyer in the forfeiture of the terms granted for payment. On the delayed payments, however, the interest equal to the rate established by the Ministry of Economy increased by 7 points.
7. BALANCE SHEET CONDITIONS. For the purposes of art. 1461 of the cod. the expected change in the patrimonial conditions of the contracting parties is also to be verified with the publication of a protest against them, on the bulletin of the protests.
8. JURISDICTION. For any controversy the Court of Perugia will be exclusively competent, expressly renouncing the Buyer to the competence of other Fora, even in case of connection.
9. DEROGATION FROM GENERAL CONDITIONS OF SALE. Any exception to the above General Conditions of Sale will not be recognized by the Seller unless expressly accepted in writing by the Company's legal representative or by its attorneys.
